Terms of Service.

Summary

These Terms of Service (the "Terms") form a legally binding agreement between you (the "Customer", "you") and Neovace ("we", "us", "our"), governing your access to and use of the website neovace.com and all related services (collectively, the "Service").

By creating an account, placing an order, or otherwise using the Service, you agree to these Terms in their entirety. If you do not agree, you must not use the Service.

01Definitions

• "Service" means the AI-portrait generation service offered through neovace.com.
• "Account" means the personal account you create to access the Service.
• "Inputs" means the selfies, photos, and any other content you upload to the Service.
• "Outputs" means the AI-generated portraits delivered to you through the Service.
• "Plan" means one of the paid offerings listed on the pricing page.

02Acceptance of these Terms

You accept these Terms when you (a) check the corresponding box during account creation, (b) place an order, or (c) otherwise use the Service in any way. We may update the Terms from time to time, in which case the most recent version published at neovace.com/terms will apply.

03Eligibility

You must be at least eighteen (18) years old to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years of age;
• You have the legal capacity to enter into a binding contract;
• You are not barred from using the Service under any applicable law;
• The information you provide to us is accurate, current, and complete.

The Service is not intended for minors. We do not knowingly collect data from, or generate portraits of, anyone under the age of 18.

04Your account

To use the paid features of the Service, you must create an account using a valid email address and a password. You are responsible for:

• Maintaining the confidentiality of your login credentials;
• All activities that occur under your account, whether authorized by you or not;
• Notifying us immediately at support@neovace.com of any unauthorized use.

We reserve the right to suspend or terminate any account that we reasonably believe is in violation of these Terms.

05The Service

Neovace provides a digital service that uses artificial intelligence to generate professional-quality portraits from selfies you submit. The Service includes:

• An online interface for uploading your selfies;
• The training of a private AI model based on those selfies;
• The generation of a portfolio of portraits delivered through your dashboard;
• A limited license to use those portraits, as described in section 8.

We do our best to keep the Service available 24/7, but we do not guarantee uninterrupted access. We may, from time to time, perform maintenance, upgrades, or improvements that may temporarily limit availability.

06Acceptable use

You agree not to use the Service to:

• Upload photos of any person under 18 years old;
• Upload photos of any person without their explicit consent;
• Generate content that is unlawful, defamatory, obscene, harassing, or that infringes the rights of others;
• Generate impersonations of public figures or any third party without authorization;
• Attempt to circumvent, reverse-engineer, or extract our AI models;
• Use the Service to compete with us or to develop a competing product;
• Interfere with or disrupt the integrity or performance of the Service;
• Use automated tools (bots, scrapers, crawlers) to access the Service except where expressly authorized;
• Resell, sublicense, or transfer your access to the Service to a third party.

Violation of these rules may result in immediate suspension or termination of your account, the loss of any unused credits, and where appropriate, legal action.

07Your content (Inputs)

You retain full ownership of the selfies and any other content you upload to the Service ("Inputs"). However, by uploading content, you grant us a limited, non-exclusive, royalty-free license to:

• Store your Inputs on our servers for the duration of your order;
• Process your Inputs through our AI training pipeline;
• Use your Inputs solely to deliver the Service to you.

This license is strictly limited to the purposes described above. We do not use your Inputs to train any public, shared, or commercial AI model. Your Inputs and AI model are automatically deleted after 30 days, as detailed in our Privacy Policy.

You represent and warrant that:

• You are the person depicted in the photos you upload, or you have explicit authorization from the person depicted;
• The photos you upload do not infringe any copyright, trademark, privacy, or other right of any third party;
• The photos comply with the acceptable-use rules in section 6.

08Your license to use the portraits (Outputs)

Subject to your full payment and ongoing compliance with these Terms, we grant you a perpetual, worldwide, non-exclusive license to use the AI-generated portraits delivered to you, subject to the following:

• Personal use (LinkedIn, CV, professional websites, social media, dating profiles) is included in every plan;
• Commercial use (advertising, paid media, brand campaigns, books, team rosters, paid press) requires a commercial license, included only with the Business plan;
• The portraits may not be used to defame, harass, mislead, or impersonate any person, including yourself when used to mislead others;
• The portraits may not be sold, licensed, or distributed to third parties as if they were your own original photographic work.

We retain ownership of the underlying AI models, prompts, and proprietary technology. Nothing in these Terms transfers ownership of those to you.

09AI-generated content disclaimer

You acknowledge and accept that the Service generates content using artificial intelligence. As a result:

• The portraits are not photographs and may differ from your real appearance in subtle or significant ways;
• The portraits may include occasional artifacts or imperfections typical of AI-generated content (slightly distorted features, unusual hands, etc.);
• This is why we deliver a large quantity of portraits per plan — so you can keep the best ones and discard any that don't meet your standards;
• You are responsible for reviewing each portrait before using it publicly.

Where you use a Neovace portrait in a context where authenticity matters (legal documents, identity verification, etc.), you should disclose that the portrait is AI-generated.

10Payment

All payment terms — pricing, taxes, billing, all-sales-final policy, free regeneration, and refund exceptions — are governed by our Sales Policy, which forms an integral part of these Terms.

11Termination

You may terminate your account at any time through your dashboard, or by emailing support@neovace.com. Termination of your account will result in the deletion of your account data and any AI models stored on our servers. Already-purchased orders that have been delivered are not affected by termination.

We may suspend or terminate your account, with or without notice, if you breach these Terms, our Sales Policy, or any applicable law. In the case of serious violations (especially regarding minors or non-consensual content), we may also report the violation to the competent authorities.

12Disclaimer of warranties

The Service is provided "as is" and "as available", without any warranty of any kind, whether express or implied. To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that the portraits generated will meet your subjective expectations. Our free-regeneration guarantee (see Sales Policy) is the primary remedy for unsatisfactory results.

13Limitation of liability

To the maximum extent permitted by law, in no event shall Neovace, its founder, or any affiliate be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising out of or relating to your use of the Service.

Our aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or one hundred euros (€100), whichever is greater.

Nothing in these Terms limits or excludes our liability for fraud, gross negligence, or willful misconduct, or any other liability that cannot be excluded under applicable law (notably under EU consumer-protection law for consumers).

14Indemnification

You agree to indemnify and hold harmless Neovace, its founder, and any affiliate from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms or any policy referenced herein;
• Your misuse of the Service or of the portraits generated;
• Any claim by a third party that your Inputs or use of the Outputs infringes their rights.

15Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

For consumers domiciled in the European Union, mandatory provisions of the consumer-protection law of the consumer's country of residence continue to apply where they grant the consumer a higher level of protection.

Before initiating any legal action, the parties agree to first attempt to resolve any dispute amicably by contacting support@neovace.com. If amicable settlement fails, exclusive jurisdiction shall lie with the competent courts of Delaware, except where mandatory consumer-protection law provides otherwise.

EU consumers may also access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16Changes to these Terms

We may modify these Terms from time to time. The current version is always available at neovace.com/terms, and the "Last updated" date at the top reflects the most recent revision.

For material changes, we will notify registered users by email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
